Space-Eyes and McKinley Acquisition Corp. Announce Definitive Business Combination Agreement to Deliver AI-Driven Counter Drone Technology and Geospatial Intelligence Worldwide

Space-Eyes, Inc. (“Space-Eyes”), a provider of next-generation geospatial intelligence and AI agents that orchestrate real-time situational awareness and control for Defense, Security, and Enterprise Operations Worldwide, and McKinley Acquisition Corp. (Nasdaq: MKLY) (“McKinley”), announced today that they have entered into a definitive business combination agreement ("BCA”). The proposed transaction was unanimously approved by the boards of directors of both Space-Eyes and McKinley and is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including regulatory and shareholder approval. Upon closing, the combined company will be named Space-Eyes, Inc., and its common stock is expected to be listed on The Nasdaq Stock Market LLC (“Nasdaq”) and trade under the ticker symbol CUAS, subject to approval by Nasdaq.

Defense technology company Space-Eyes has agreed to go public through a merger with special purpose acquisition company McKinley Acquisition Corp in a deal valuing the combined business at $638 million, the companies said on Friday, confirming an earlier Reuters report. President Donald ‌Trump's son Eric Trump has recently become the third-largest private investor in the original Space-Eyes, which has operated primarily as a research-and-development company and generated about $1 ‌million in annual revenue, according to people familiar with the matter. Eric Trump will serve as a strategic adviser to the combined business following the transaction.
